      I. Company Profile

Yihai International is a leading compound condiment manufacturer in China primarily focused on the hot pot condiment market, Chinese-style compound condiment market and convenient ready-to-eat food products related segment. We are the major supplier of hot pot soup flavoring products for Haidilao Group in China. We mainly sale products under the brands of “Haidilao” and “Magic Cook (筷手小廚)”. As of 30 June 2022, we have a total of 64 hot pot condiment products, 54 Chinese-style compound condiment products and 38 convenient ready-to-eat food products. Driven by our multi-brand strategy and coupled with our market-orientated and sound innovation capability, extensive distribution network, advanced production technology and strict food safety and product quality control mechanism, Yihai has emerged as one of only a handful of prominent compound condiment manufacturer across China. We are committed to developing into the leading supplier of cooking condiment solutions in China. 

II. Prohibitions

Clause 1: No corruption or embezzlement of public funds.

Clause 2: No receipts of money or gifts or non-essential banquets (banquets that are required for work shall be reported to the superior) from partners, suppliers or external business units; no borrowing from partners, suppliers or external business units, etc., and no personal funds exchange, except for those for the subscription of public offerings.

Clause 3: No receipts of money or gifts with a value over RMB100 from subordinate employees and apprentices; no borrowing from subordinate employees and apprentices; and no organizing or participating in illegal fund-raising and private financing and lending activities.

Clause 4: No false reporting, concealment or fraud.  

Clause 5: No gambling.

Clause 6: No divulgence of company secrets, betray corporate interests or damage to the image of the Company; and no seeking of personal benefits by taking advantage of duty.

Clause 7: No acts conducted that will violate the duties of loyalty and professionalism to cause heavy losses to or adverse impacts on the Company.

Clause 8: No part-time jobs. Ordinary employees are prohibited from taking part-time jobs during working hours, including wechat business and daigou agent; and partners, managers and headquarters business teams and above are prohibited from all external part-time activities.

Clause 9: No violation of regulations on nepotism and supplier relationships. 

III. Whistleblowing Policy

(I) Whistle-blowing channel: Reporting to Manager Li (for Mainland China) by email to yhnsb@yihchina.com; or reporting to Manager Shen (for Non-mainland China) by email to shenfj@yihchina.com.

(II) Allegations: Including but not limited to the breaching of Yihai Prohibitions, the Integrity Commitment on Acquisition and Sales, the Code of Conduct for Directors and Employees, corruption and malpractice.

(III) The department accepting the report shall keep the information of the informant strictly confidential.
